Terms & Conditions

These Terms & Conditions (the “Terms”) form a binding agreement between you (the “Customer”, “you”) and AlphaXSender (“AlphaXSender”, “we”, “us”) governing your access to and use of the AlphaXSender website, customer dashboard, control-plane API, and the AlphaXSender desktop application (collectively, the “Service”). By creating an account, completing a purchase, or installing the desktop application you confirm that you have read, understood, and agreed to be bound by these Terms and the Privacy Policy. If you do not agree, do not use the Service.

1. Definitions

  • Service. The AlphaXSender public website, customer dashboard, license-issuance API, and the AlphaXSender desktop application.
  • License Key. The unique alphanumeric string we generate and email to you on payment confirmation. It activates the desktop application against our license server.
  • Lifetime License. A non-exclusive, non-transferable, perpetual right to install and run the desktop application, subject to these Terms.
  • Customer Infrastructure. The SMTP servers, Ubuntu MTAs, Microsoft 365 / Outlook mailboxes, sending domains, DNS records, third-party APIs, and machines you connect to the desktop application. AlphaXSender does not see, host, or relay any of it.
  • Recipient. Any person whose email address you load into the desktop application as a target of a campaign.

2. Lifetime License Grant

Subject to your full payment of the License Key fee and your continued compliance with these Terms, AlphaXSender grants you a worldwide, non-exclusive, non-transferable, royalty-free, perpetual licence to install and use the desktop application on hardware you control for your own internal business or personal purposes. The licence is issued to the account on file at the time of purchase and may not be sold, sublicensed, leased, or otherwise transferred without our prior written consent.

The Service does not include monthly subscriptions, recurring charges, sending quotas, or per-email metering. You pay once.

3. License Restrictions

You will not, and will not permit any third party to:

  • copy, redistribute, resell, sublicense, lend, or rent the desktop application or your License Key;
  • reverse engineer, decompile, disassemble, or attempt to derive the source code, except to the extent that this restriction is prohibited by law applicable to you;
  • remove, alter, or obscure any proprietary notices on the desktop application;
  • circumvent license validation, heartbeat, or any other technical protection measure;
  • publish or share License Keys publicly, including on forums, key-resellers, paste sites, social media, or in code repositories.

A License Key found in unauthorised distribution will be revoked without notice. Repeated abuse may result in permanent suspension of your account and forfeiture of the licence.

4. Acceptable Use Policy

You are solely responsible for the content, targeting, lawfulness, and consequences of every email sent through your installation of the desktop application. By using the Service you confirm that you will:

  • comply with the CAN-SPAM Act (US), CASL (Canada), GDPR + the ePrivacy Directive (EU/EEA), UK PECR + UK GDPR, the Australia Spam Act 2003, and every other applicable email, marketing, data-protection, consumer-protection, or anti-fraud regulation in every jurisdiction where you, your sending infrastructure, or your recipients are located;
  • send only to recipients whose email addresses were collected with valid, demonstrable consent or for whom you have a legitimate-interest basis recognised under the laws above;
  • use truthful and non-deceptive header information, sender names, “From” addresses, reply-to addresses, and subject lines;
  • identify the sender clearly, include a valid postal mailing address where required by law, and provide a working unsubscribe / opt-out mechanism that is honoured promptly (typically within 10 business days, or shorter where required);
  • maintain accurate suppression lists across every campaign and send mode;
  • respect bounce-back, complaint, and abuse-feedback signals from receiving mail providers and not retry against addresses that have hard-bounced or filed abuse reports;
  • publish accurate SPF / DKIM / DMARC / rDNS records on the sending domains you operate;
  • cooperate with abuse desks, ESPs, blocklists, and law enforcement on any complaint that we forward to you.

You will not use the Service to:

  • send unsolicited bulk email (spam) or messages that violate any applicable anti-spam law;
  • conduct phishing, credential harvesting, brand impersonation, business-email compromise, romance scams, or any other deceptive practice intended to defraud recipients;
  • distribute malware, ransomware, exploit kits, or links that lead to such payloads;
  • solicit personal data through deception, including pretending to represent a third party you do not represent;
  • send sexually explicit content to minors, content that exploits or endangers children, or any content prohibited by applicable law;
  • infringe any intellectual-property right, trademark, or right of publicity;
  • harass, threaten, defame, or stalk any individual;
  • circumvent the access-control, throttling, or filtering of any receiving mail provider or DNS / RBL blocklist;
  • send to addresses harvested without consent (including via web scraping that violates a website’s terms or robots.txt) or to addresses purchased or rented from third parties whose collection lawfulness you cannot verify;
  • misrepresent or hide the use of the desktop application to a regulator, ESP, registrar, or hosting provider;
  • operate the Service in any sanctioned jurisdiction or for any sanctioned person, where such use is prohibited under the sanctions programmes of the United States (OFAC), the European Union, the United Kingdom, or the United Nations.

Suspected violation of this Acceptable Use Policy is grounds for immediate suspension of your account, revocation of your License Key, and reporting to applicable authorities. We reserve the right (but assume no obligation) to investigate complaints. We make no commitment to recover or refund any payment in the event of an AUP violation.

5. Customer Infrastructure & Responsibilities

The Service is software only. AlphaXSender does not operate, host, monitor, or relay any sending infrastructure on your behalf. You are responsible for:

  • provisioning and securing the SMTP servers, Ubuntu MTAs, Microsoft 365 / Outlook accounts, and any other delivery endpoints you connect to the desktop application;
  • your sending domains and the DNS records published against them, including DKIM keypair custody;
  • the security of the machines on which you install the desktop application, including OS-level updates, antivirus, and protection of your License Key, JWT activation token, and stored credentials;
  • the security and content of any tracker scripts you generate and self-host;
  • backup, export, and lawful processing of any data the desktop application stores locally on your machines;
  • negotiating directly with any third-party providers (Microsoft, your VPS host, your DNS provider, your SMTP provider, your tracker host) whose terms also govern your use of those services.

6. Account Registration

To purchase a licence you must create an account by providing an accurate and current email address, first and last name, an organisation name where applicable, and a password of at least eight characters. You may not create accounts using false identities, automated means, or impersonation. You are responsible for all activity that occurs on your account and for keeping your credentials confidential. Notify us at support@alphaxsender.local immediately upon learning of any unauthorised access.

7. Payments & Refunds

Payments are accepted exclusively in cryptocurrency through NowPayments. Pricing is published in US Dollars on the pricing page and converted to the cryptocurrency you select at the time of checkout at the rate quoted by NowPayments. The rate is locked for a short window (typically twenty minutes) and the payment must arrive on-chain before that window expires; otherwise the invoice will expire and you must restart checkout.

Cryptocurrency transactions are by their nature final and non-reversible. Once an on-chain payment has confirmed and the License Key has been issued, refunds are at our sole discretion and considered case-by-case only when (a) you contact us within twenty-four (24) hours of payment confirmation, (b) you have not used the License Key to send any meaningful volume, and (c) you have not violated these Terms or the Acceptable Use Policy. Where granted, refunds are paid in the same cryptocurrency at the rate prevailing at the time of refund — exchange-rate movement is not borne by us.

You are responsible for any taxes, duties, withholdings, network fees, or banking charges associated with your payment. The fee paid to AlphaXSender is exclusive of all such charges unless explicitly stated.

8. Intellectual Property

AlphaXSender and our licensors retain all right, title, and interest in and to the desktop application, the website, the control-plane API, the documentation, our trademarks, and all improvements, derivatives, and components thereof. No rights are granted to you except as expressly set out in these Terms. You retain ownership of every email, recipient list, template, and other content you create with the desktop application.

9. Feedback

Any feedback, suggestion, bug report, or feature request you submit may be used by us in any manner, perpetually and without compensation, to improve the Service.

10. Third-Party Services

The Service integrates with third parties including NowPayments (for payment processing) and, where you choose to connect them, Microsoft 365 / Microsoft Graph, your DNS provider, your VPS host, and your SMTP relays. Your use of those services is governed by their respective terms and privacy policies. AlphaXSender is not responsible for any third-party service’s availability, pricing, security, or behaviour.

11. Updates & Support

We make available updates to the desktop application from time to time at our discretion. We do not commit to any particular cadence, feature set, or backwards-compatibility guarantee. Updates may modify, add, or remove features. Best-effort email support is included with your lifetime licence; response times are typically within one business day but are not guaranteed.

12. Disclaimer of Warranties

The Service is provided on an “as-is” and “as-available” basis without warranty of any kind. To the fullest extent permitted by law, AlphaXSender disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that the Service will meet your requirements, operate uninterrupted or error-free, deliver every email to every inbox, or comply with the deliverability standards of any particular receiving mail provider.

13. Limitation of Liability

To the maximum extent permitted by law, AlphaXSender and its officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost revenue, lost goodwill, sender-reputation damage, domain or IP blocklisting, business interruption, or loss of data — arising out of or in connection with the Service, even if advised of the possibility of such damages.

Our aggregate liability arising out of or in connection with the Service, however caused and on whatever basis (contract, tort, statute, or otherwise), is limited to the amount you paid us for the License Key giving rise to the claim. Some jurisdictions do not permit certain limitations; in those jurisdictions our liability is limited to the smallest amount permitted by law.

14. Indemnification

You will defend, indemnify, and hold harmless AlphaXSender from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to (a) your use of the Service, (b) your violation of these Terms or the Acceptable Use Policy, (c) any email you sent through the desktop application, (d) your violation of any applicable law or third-party right, and (e) any dispute between you and a recipient, an ESP, a hosting provider, or any other third party.

15. Term & Termination

These Terms apply from the moment you create an account and continue until terminated. We may suspend or terminate your account and revoke your License Key at any time, without notice, if we reasonably believe you have breached these Terms or the Acceptable Use Policy, are using the Service to commit a crime or tort, or that continued provision of the Service exposes us to legal or reputational risk. Sections 3, 4, 5, 8, 9, 12, 13, 14, 15, and 17 survive termination.

16. Changes to These Terms

We may revise these Terms from time to time. The revised Terms take effect on the “Last updated” date shown above. We will give you advance notice of any material change by email or via a notice on the customer dashboard. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not accept a revision, your sole remedy is to stop using the Service.

17. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction of AlphaXSender’s primary place of business, without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for the resolution of any dispute, save that AlphaXSender may bring proceedings in any jurisdiction necessary to enforce its intellectual-property rights. To the extent permitted by applicable consumer-protection law in your country of residence, you may bring claims in your local courts.

18. Miscellaneous

  • Entire agreement. These Terms together with the Privacy Policy constitute the entire agreement between you and us with respect to the Service and supersede all prior or contemporaneous understandings.
  • Severability. If any provision is held to be unenforceable, the remaining provisions remain in full force and effect.
  • No waiver. Our failure to enforce any provision is not a waiver of that provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of substantially all our assets.
  • Force majeure. Neither party is liable for any failure or delay caused by events beyond its reasonable control.
  • Notices. We may give notice via the email address on your account or by posting on the customer dashboard. You may give notice via support@alphaxsender.local.
